Why are you doing this transaction?

The combination with Direct Energy will improve our position as an integrated, best-in-class, customer-driven energy provider, adding more than three million retail and commercial and industrial customers in all 50 states and 6 Canadian provinces. The combined company enhances NRG’s status as one of North America’s premier power companies, building on its integrated business model by enabling better matching of NRG’s power generation capability with Direct Energy’s customer load in the Northeast U.S. With 76% of Direct Energy’s Home Energy customers outside of Texas, the transaction provides NRG with substantial regional diversity, broadening its presence into states and locales where it does not currently operate and supporting NRG’s objective to diversify its business outside of Texas.

What does this transaction mean for NRG’s retail customers?

The transaction will broaden NRG’s retail presence and offerings across the U.S. and Canada, allowing the Company to support more retail customers and provide them with greater choice and products tailored to their needs. NRG’s customers will benefit from greater efficiencies and continued investment in award-winning customer service, combined operational best practices and reliability. NRG’s decades of experience in the electricity market and broad insights into energy market dynamics and trends and Direct Energy’s shared commitment to customer satisfaction will enable the combined company to provide new and innovative solutions and differentiated energy products and services for customers.

What does this transaction mean for NRG’s commercial customers?

The transaction further improves our customer-centered approach across our business and will continue to support our customized offerings of commercial energy plans. In fact, the combination will broaden NRG’s operations, providing opportunities to further align our offerings to additional markets our commercial customers operate in, and even better serve them with unique and innovative energy plans.

Should I expect any changes to my existing contract?

There will be no changes as a result of today’s announcement. Our top priority remains to serve you and we will do our best to ensure a seamless process associated with the combination with Direct Energy.

Will I have fewer plans and products to choose from?

No. Your choices will not change, and customers will benefit from products tailored to their needs.

Will there be any changes to my point of contact at NRG?

No, your current point of contact will not change. Until the transaction closes at the end of 2020, it is business as usual at NRG.

What are the next steps in the process?

This announcement is just the first step, and the next steps will be to obtain the necessary regulatory approvals. Between now and closing, NRG and Direct Energy will operate as two separate companies and it is business as usual at NRG.
